Position: FB Secretariat Reports to: Founding Board Secretariat Role Purpose To organize, direct and support the incorporation of NEOM Subsidiaries and Joint Venture (JVs) in order to meet governance, compliance and regulatory requirements and meet the business needs while protecting the interests of the NEOM company. Responsibilities Strategic management of activities related to the Pre-incorporation, Incorporation, Post-incorporation processes of the Subsidiaries/JVs. Supports the NEOM stakeholders with inquiries related to the incorporation packages and provide assistance as needed. Support the NEOM stakeholders with the preparation of the BoD key asks and required resolutions for incorporation. Ensure the formal legal incorporation process of Subsidiaries/JVs. Submit application to relevant Ministries (MOC/MISA) and the respective governmental authorities for the legal incorporations. Coordinates with legal counsel with respect to GAC filing requirements. Collect information on key activities on Incorporation / Governance / Secretariat and the JV partner. Support the drafting the AoA and collect the required inputs. Coordinate with legal counsel on drafting AoA, PoA and relevant documentations. Provide incorporation timeline updates to the NEOM stakeholders when applicable. Advise the NEOM stakeholders on incorporation matters and details of the incorporation process to support their understanding and knowledge. Review board resolutions for incorporation and assist to ensure requirements are fulfilled and provide feedback on incorporation matters as needed. Relationship management with NEOM stakeholders on the incorporation of Subsidiaries/JVs. Provide support to the NEOM stakeholders regarding all incorporation matters Identify the key internal and external stakeholders. Advise on legal incorporation matters to internal stakeholders and provide information as necessary. Relationship management with stakeholders. Monitor progress and correctness of information and report periodically to relevant stakeholders. Provide all reports in a timely fashion as required. Developing and maintaining a centralized master sheet for all. Prepare a weekly Subsidiary/JVs incorporation status report that includes timelines for the incorporation and detailed progress and issues on each of the Subsidiaries/JVs Develop ad-hoc reports as needed. Appropriate coordination with colleagues, other departments, and management as needed. Supports NEOM stakeholders with governance requirements as needed. Supports departmental projects and initiatives as needed. Qualifications Arabic/English Language Skills 5 to 7 years of professional experience Excellent record-keeping and administrative skills Strong reasoning ability MS skills (i.e., MS word, MS Excel, MS PowerPoint, etc.) Teamwork: a committed team player working in a multi-cultural environment Trust & respect: ability to win trust of Directors and colleagues Creativity: an ability to find a practical solution to unexpected challenges Professionalism: deliver role with integrity Experience with the legal incorporation of Subsidiaries/JVs Knowledge in Corporate governance. Knowledge of KSA companies’ laws and regulations. Qualifications Bachelor’s Degree (preferably Law Degree)
